Terms and conditions

These terms and conditions (the "Terms") govern the intermediation, concierge and hospitality services provided by JACKIE & FRIENDS to its clients, whether individuals or legal entities.

JACKIE & FRIENDS acts as an intermediary. It searches for, reserves and purchases, in its clients' name and on their behalf, the tickets and services they request, and charges search and service fees for doing so.

Any order implies full acceptance of these Terms, which prevail over any other document of the client. The French version of these Terms prevails in case of discrepancy.

JACKIE & FRIENDS, a French simplified joint-stock company (SAS) with a share capital of 100,00 €, registered office at 133 rue de la Pompe, 75016 Paris, registered with the RCS of Paris 933 967 143, VAT number FR84933967143, represented by its President (hereinafter "JACKIE & FRIENDS" or the "Provider").

Every order follows a request sent directly to JACKIE & FRIENDS, by email or by any other means agreed with the client.

Before any payment, JACKIE & FRIENDS sends the client a written proposal stating: the service or tickets sought, their intended origin, the estimated disbursements, the search and service fees, and the total price including all taxes.

The order becomes binding once the proposal and these Terms are accepted and the price is paid in full.

Payment is made online through a secure payment link sent to the client. Payments are processed by Stripe. JACKIE & FRIENDS never has access to full card details.

Amounts are stated in euros. An invoice is issued for each order.

By confirming payment and accepting these Terms, the client expressly appoints JACKIE & FRIENDS to search for and purchase, in the client's name and on the client's behalf, the tickets matching the request, up to the estimated disbursements stated in the proposal.

JACKIE & FRIENDS acts as an intermediary agent. It is neither the event organiser nor the seller of the tickets, and never becomes their owner. The contract of sale for the tickets is concluded directly between the client and the seller.

The client provides JACKIE & FRIENDS with the information needed to purchase in the client's name, in particular the identity of the persons who will use the tickets.

If the available purchase price exceeds the estimated disbursements, JACKIE & FRIENDS asks for the client's written approval before any purchase. Without approval, no purchase is made and the client is refunded in full.

The price paid by the client consists of two separate items, shown separately on the proposal and on the invoice:

Disbursements: the exact purchase price of the tickets as invoiced by the seller, including the purchase platform's fees. They are recharged to the client to the euro, with no margin. JACKIE & FRIENDS incurs them in the client's name and on the client's behalf, records them in a suspense account and supports them with the purchase document. In accordance with article 267 II 2° of the French General Tax Code, they are excluded from the VAT base of JACKIE & FRIENDS.

Search and service fees: the remuneration of JACKIE & FRIENDS for searching, selecting, purchasing, following up the order and delivering the tickets. They are subject to VAT at 20%.

Disbursements are estimated at the time of payment. If the actual purchase price is lower than the estimate, the difference is refunded to the client within fourteen days of the purchase. A final invoice, showing disbursements and search and service fees separately, is sent after the purchase. A copy of the purchase document is provided on request.

JACKIE & FRIENDS makes no purchase before the client's payment has been received.

JACKIE & FRIENDS holds no stock of tickets and offers no tickets for sale to the public. Each purchase follows the individual request of an identified client, after payment, in the client's name and on the client's behalf.

Tickets are acquired from the organiser, its authorised distributors or exchange platforms offering a buyer guarantee.

The intended origin is stated in the proposal, before payment. When tickets come from an exchange platform, the client is expressly informed of it and of that platform's guarantee terms.

Tickets are delivered electronically, to the email address or application provided by the client, or as agreed with the client. Where the organiser allows it, tickets are issued in the name of the client or of the persons the client has designated.

Delivery times depend on the organiser and the purchase platform. They are shared with the client as soon as they are known.

In some cases the event organiser may refuse entry to a ticket holder, in particular when the ticket was acquired on an exchange platform or when the name on the ticket does not match the holder.

If entry is refused, JACKIE & FRIENDS assists the client in claiming under the guarantee offered by the purchase platform. Any refund of disbursements depends on the terms of that guarantee.

If the refusal is not attributable to the client, JACKIE & FRIENDS refunds the search and service fees in full. If the refusal results from the client's own conduct (late arrival, missing identity document, breach of the organiser's or venue's rules, behaviour), these fees remain due.

If the event is cancelled, JACKIE & FRIENDS claims the refund from the organiser or the purchase platform. It pays the refunded disbursements back to the client within fourteen days of receipt, and refunds the search and service fees in full.

If the event is postponed, the tickets remain valid for the new date unless the organiser decides otherwise. If the client cannot attend, the client informs JACKIE & FRIENDS within the deadlines set by the organiser. JACKIE & FRIENDS then claims the refund, pays the refunded disbursements back within fourteen days of receipt, and refunds the search and service fees in full.

The refund of disbursements is limited to the amounts actually refunded by the organiser or the purchase platform.

In accordance with article L221-28 12° of the French Consumer Code, the right of withdrawal does not apply to leisure services provided on a specific date or within a specific period. The client therefore has no right of withdrawal for orders covered by this title.

JACKIE & FRIENDS reserves, in the client's name and on the client's behalf, services provided by third parties: restaurants, accommodation, transport, hospitality services related to events.

The sale, change and cancellation terms of the provider concerned apply. They are stated in the proposal, before payment.

Amounts paid to the provider are recharged to the client as disbursements, under the conditions of article 6. Search and service fees are charged as stated in the proposal.

Bespoke experiences are the subject of a written proposal detailing the services, the providers involved, the estimated disbursements and the search and service fees.

Any change requested by the client after acceptance gives rise to a new proposal.

If the client cancels, the amounts committed to providers and not refundable by them remain due, together with the search and service fees for the work already carried out.

JACKIE & FRIENDS is bound by an obligation of means in performing its role as intermediary. It cannot be held liable for the performance of services by an event organiser or a third-party provider, for acts attributable to the client, or in the event of force majeure.

Towards a business client, the liability of JACKIE & FRIENDS is limited to the amount of search and service fees received for the order concerned. This limitation does not apply to consumer clients, nor in the event of gross negligence or wilful misconduct.

The client's personal data is processed in accordance with the JACKIE & FRIENDS privacy policy, available from the site footer. The information needed for a purchase is passed on to the seller or provider concerned, in the client's name.

These Terms are governed by French law.

Failing an amicable settlement, any dispute with a business client falls within the exclusive jurisdiction of the Commercial Court of Paris. Consumer clients may bring proceedings, at their choice, before the court of their place of residence at the time the contract was concluded or the damage occurred, or any other court competent under the law.
